1. Agreement
These Wholesale Terms & Conditions (“Agreement”) govern the purchase of products from Amino Connection (“Amino Connection,” “Company,” “Supplier,” “we,” “us,” or “our”) by the purchasing individual or business (“Buyer,” “Wholesale Customer,” or “you”).
By submitting a wholesale application, placing an order, or purchasing products from Amino Connection, Buyer acknowledges and agrees to the terms contained in this Agreement.
2. Definitions
“Products” means the research-use products, compounds, peptides, amino-acid products, and other materials offered by Amino Connection.
“Buyer” means the individual, company, organization, laboratory, researcher, or other approved entity purchasing Products from Amino Connection.
“Research Use Only (RUO)” means Products are intended solely for legitimate laboratory, analytical, educational, or research purposes and are not intended for human or animal consumption, diagnosis, treatment, cure, mitigation, or prevention of disease.
“Wholesale Order” means an order placed by an approved Buyer for Products offered through Amino Connection’s wholesale program.
3. Wholesale Eligibility
Wholesale purchasing is available only to approved businesses, organizations, laboratories, researchers, and other qualified entities.
Amino Connection reserves the right to:
- Verify Buyer information and business credentials.
- Request additional documentation.
- Approve or decline any wholesale account.
- Suspend or terminate an account if the Buyer fails to comply with this Agreement.
- Decline any order that Amino Connection reasonably believes may violate applicable laws, regulations, or Company policies.
Approval of a wholesale account does not guarantee acceptance of every future order.
4. Research Use Only
Unless expressly stated otherwise in writing, all applicable Products supplied by Amino Connection are sold as Research Use Only (RUO) materials.
Products are not represented or marketed as drugs, dietary supplements, medical devices, medical treatments, diagnostic products, products approved for human consumption, or products approved for veterinary or animal consumption.
Buyer agrees not to represent, advertise, label, or market Products in a manner inconsistent with their intended research use.
Buyer is solely responsible for ensuring that its use, handling, storage, distribution, and marketing of Products complies with all applicable laws and regulations.
5. Product Documentation & Quality
Amino Connection may provide available product documentation, which may include Certificates of Analysis (COAs), identity testing, purity testing, analytical testing, molecular-weight verification, batch information, and other applicable technical documentation.
Documentation applies to the specific batch tested and should not be interpreted as a representation that every batch will have identical analytical results.
Unless expressly stated in writing, Amino Connection does not warrant that a Product is suitable for any particular research application.
6. Orders
All wholesale orders must be submitted through an approved Amino Connection ordering channel.
Amino Connection reserves the right to confirm or reject an order, correct obvious pricing or ordering errors, limit quantities, delay fulfillment when additional information or verification is required, or cancel an order when fulfillment would create a compliance, regulatory, payment, or operational concern.
An order is not considered accepted until confirmed by Amino Connection.
7. Payment Terms
Unless otherwise agreed to in writing, payment is due at the time of order.
Approved payment methods may include ACH, wire transfer, electronic payment, or other methods authorized by Amino Connection.
Amino Connection may place an account on hold for outstanding balances, failed payments, payment disputes, chargebacks, or repeated late payments.
Wholesale pricing and payment terms may vary by account and may be modified upon written notice.
8. Shipping & Delivery
Amino Connection will make commercially reasonable efforts to process and ship orders within the estimated processing timeframe provided at the time of purchase.
Processing time and shipping time are separate. Shipping dates and delivery estimates provided by Amino Connection or a carrier are estimates and are not guaranteed unless expressly agreed to in writing.
Amino Connection is not responsible for delays caused by shipping carriers, weather, natural disasters, government actions, supply-chain disruptions, incorrect shipping information, or events outside Amino Connection’s reasonable control.
9. Shipping Information
Buyer is responsible for providing an accurate shipping address and contact information.
Amino Connection is not responsible for loss, delay, redirection, or additional shipping costs resulting from an incorrect or incomplete shipping address supplied by Buyer.
Buyer should inspect shipments promptly upon delivery and notify Amino Connection of any apparent damage, shortage, or incorrect product within 48 hours of delivery. Documentation and photographs may be required to evaluate a shipping claim.
10. Product Storage & Handling
Buyer is responsible for properly receiving, storing, handling, and maintaining Products after delivery.
Buyer agrees to follow any storage or handling information provided by Amino Connection or included with the applicable Product documentation.
Amino Connection is not responsible for Product deterioration resulting from improper storage, handling, environmental exposure, or conditions occurring after delivery.
11. Returns & Refunds
Due to the nature of research-use products, all sales are final unless otherwise agreed to in writing by Amino Connection.
Amino Connection may, at its discretion, provide a replacement, credit, or other resolution for Products incorrectly shipped by Amino Connection, verified shipping damage, or other fulfillment errors attributable to Amino Connection.
Claims must be submitted within the applicable notification period.
12. Product Use & Buyer Responsibility
Buyer acknowledges that research-use materials may involve inherent risks associated with their handling and use.
Buyer is responsible for appropriate facilities, proper equipment, qualified personnel, appropriate storage, appropriate handling procedures, and compliance with applicable laws and regulations.
Buyer shall not use Products in a manner inconsistent with their stated research purpose.
13. Compliance With Laws
Buyer is solely responsible for complying with all applicable federal, state, and local laws and regulations relating to the purchase, possession, handling, research, storage, distribution, resale, and use of Products.
Amino Connection does not provide legal, medical, regulatory, or tax advice to Buyer.
Buyer should obtain its own professional advice regarding the laws and regulations applicable to its activities.
14. Resale
If Buyer intends to resell Products, Buyer must maintain all licenses, registrations, permits, and documentation required by applicable law.
Buyer may not make claims about Amino Connection Products that are false, misleading, unsupported, or inconsistent with the Products’ intended research use.
Buyer is responsible for its own marketing, advertising, labeling, and representations to downstream customers.
15. Indemnification
Buyer agrees to defend, indemnify, and hold harmless Amino Connection and its officers, directors, employees, contractors, and affiliates from claims, damages, liabilities, losses, costs, and expenses arising from Buyer's misuse of Products; violation of applicable laws or regulations; marketing or representations concerning Products; resale or distribution of Products; breach of this Agreement; or negligent or wrongful acts or omissions.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Amino Connection shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, or goodwill.
Amino Connection’s aggregate liability relating to a Product or order shall not exceed the amount actually paid to Amino Connection for the specific Product giving rise to the claim.
17. Confidentiality
Buyer agrees to maintain the confidentiality of non-public information provided by Amino Connection, including proprietary business information, pricing, sourcing information, technical documentation, product information, and other confidential materials.
This obligation does not apply to information that is publicly available through no fault of Buyer or that Buyer is legally required to disclose.
18. Intellectual Property
All trademarks, logos, trade names, proprietary materials, documentation, website content, and other intellectual property belonging to Amino Connection remain the property of Amino Connection or their respective owners.
No rights or licenses are granted to Buyer except as expressly provided in writing.
19. Termination
Either party may terminate the wholesale relationship upon written notice.
Amino Connection may immediately suspend or terminate an account for non-payment, fraudulent activity, misrepresentation, violation of this Agreement, suspected unlawful activity, improper use or distribution of Products, or conduct that creates material regulatory or reputational risk for Amino Connection.
Termination does not eliminate obligations that accrued before termination.
20. Modifications
Amino Connection reserves the right to modify these Wholesale Terms & Conditions from time to time.
Material changes may be communicated to Buyers through email, the Buyer portal, or other reasonable means.
Continued purchasing following notice of updated terms constitutes acceptance of the revised Agreement.
21. Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of the state designated in the final executed version of this Agreement, without regard to conflict-of-law principles.
Any dispute-resolution provisions, including venue, arbitration, or mediation requirements, shall be set forth in the final executed Agreement.
22. Entire Agreement
This Agreement constitutes the entire agreement between Amino Connection and Buyer concerning the wholesale purchase of Products and supersedes prior discussions or agreements relating to the same subject matter, except for any separately executed written agreements.
Any amendment or modification must be made in writing.
23. Buyer Acknowledgment
By signing below, Buyer acknowledges that:
- The information provided to Amino Connection is accurate and complete.
- Buyer understands the Research Use Only status of applicable Products.
- Buyer will comply with applicable laws and regulations.
- Buyer will use and handle Products responsibly and appropriately.
- Buyer will not make unauthorized medical, therapeutic, diagnostic, or other unsupported claims regarding Products.
- Buyer agrees to the terms and conditions contained in this Agreement.
